Terms of Service

1. Acceptance of Terms

By creating an account, accessing, or using Templio's website, services, or software (collectively, the "Service"), you ("User", "Customer", "you") agree to be bound by this End User License Agreement ("EULA"). If you do not agree, you must not use the Service.

If you are using the Service on behalf of a company or organization, you represent that you have the authority to bind such entity to this EULA.

2. Description of the Service

Templio is an AI-powered platform for generating, editing, and managing corporate design systems, enforcing brand compliance, and managing associated presentation assets. The Service may include web applications, downloadable PowerPoint template files (.POTX, .THMX), design outputs, and APIs.

Templio continually develops and improves the Service. Features may be added, modified, or removed at Templio's discretion.

3. License Grant

Templio grants you a limited, non-exclusive, non-transferable, non-sublicensable license to:

Access and use the Service for your internal business purposes;
Download and use PowerPoint templates created through the Service;
Export or download design assets generated via the Service;
Use such exported assets without attribution, unless otherwise stated.

This license does not grant you rights to resell, redistribute, or offer Templio as a competing service unless you have entered a specific reseller or partner agreement with us.

4. User Content & Brand Material

You may upload brand assets such as logos, fonts, templates, images, PDFs, or other materials ("User Content").

4.1 Ownership

You retain all rights to your User Content. Templio does not claim ownership.

4.2 License to Templio & AI Use Clarification

By uploading User Content, you grant Templio a worldwide, royalty-free license to use, process, and display it for the purpose of providing the Service.

Templio may use anonymized or aggregated usage data and User Content for internal service improvement, model tuning, and platform functionality, but will never use your User Content for external training datasets, marketing, or public display without your explicit written permission.

4.3 Responsibility

You are responsible for ensuring you have all necessary rights, permissions, and licenses to upload and use User Content within the Service.

5. AI-Generated Outputs

Templio may use AI models to generate designs, text, color schemes, templates, and other outputs.

5.1 Ownership of Outputs

You own the outputs you create using Templio, subject to Section 4 regarding uploaded content and applicable third-party rights.

5.2 No Guarantee of Accuracy or Compliance

AI-generated outputs may include errors, inconsistencies, or incorrect brand representation. You are solely responsible for reviewing and validating all output before final use or deployment. Templio is not liable for errors in the output.

5.3 Use Restrictions

You agree not to use AI-generated outputs to:

Violate copyright or trademark laws;
Misrepresent affiliation with a brand;
Create misleading, harmful, or unlawful content.

6. Prohibited Uses

You may not:

Reverse engineer, decompile, or copy any part of the platform or its underlying code;
Circumvent access controls, rate limits, or security mechanisms;
Resell, white-label, or offer Templio as your own service;
Use the Service for unlawful or harmful activities;
Upload malicious files, malware, or harmful code;
Attempt to extract datasets or train external AI models using outputs or system data.

Templio reserves the right to suspend or terminate accounts violating these rules.

7. Intellectual Property

All technology, software, code, designs, trademarks, and business processes belonging to Templio remain the exclusive property of Templio or its licensors. No rights or licenses are granted except as explicitly stated in this EULA.

8. Fees, Billing & Subscriptions

If you have executed a separate Master Services Agreement (MSA) with Templio, the terms of that MSA shall supersede this section regarding Fees, Billing, and Subscriptions.

If you subscribe to a paid plan:

Fees must be paid in accordance with the pricing shown at the time of purchase.
Subscriptions renew automatically unless cancelled.
You may cancel at any time; cancellations take effect at the end of the current billing cycle.
Fees are non-refundable unless required by law.

Templio may change pricing with at least 30 days' notice.

9. Account Security

You are responsible for:

Keeping your login credentials secure;
All activity occurring under your account;
Notifying Templio immediately of unauthorized access.

Templio is not responsible for losses arising from compromised passwords.

10. Data Privacy & Processing

Your use of the Service is governed by the Templio Privacy Policy and, where applicable, the Data Processing Addendum (DPA).

Privacy Policy: Explains how data is collected, stored, and processed.
Data Processing Addendum (DPA): To the extent Templio processes Personal Data on your behalf subject to the GDPR or similar data protection laws, the processing is subject to the Templio DPA.

Templio follows industry-standard security practices but cannot guarantee absolute security.

11. Service Availability & Updates

Templio aims for high uptime but does not guarantee uninterrupted service. Templio is not liable for downtime.

12. Termination

Templio may suspend or terminate your access:

If you breach this EULA;
If required by law;
If your billing fails;
If your account remains inactive for a prolonged period.

Upon termination:

Your access to the Service may cease immediately;
Previously downloaded templates and outputs remain yours to use;
Your User Content will be handled per our Privacy Policy.

13. Limited Warranty & Disclaimers

Limited Functional Warranty: Templio warrants that the core brand enforcement features of the Service will operate substantially in accordance with its published documentation. Your sole remedy for breach of this warranty is Templio's reasonable efforts to correct the non-conformity.

Disclaimers: EXCEPT FOR THE LIMITED WARRANTY ABOVE, the Service is provided "as is" and "as available." Templio disclaims all other warranties, express or implied, including: merchantability, fitness for a particular purpose, non-infringement, and the accuracy or reliability of AI outputs.

14. Limitation of Liability

To the maximum extent permitted by law:

Templio is not liable for indirect, incidental, or consequential damages;
Our total liability to you will not exceed the amount you paid in the last 3 months.

15. Mutual Indemnification

15.1 By Customer

You agree to indemnify and hold harmless Templio against claims arising from:

Your misuse of the Service;
Your User Content (including claims of IP infringement related to such content);
Your breach of this EULA.

15.2 By Templio

Templio agrees to indemnify and hold harmless the Customer against third-party claims that the Service (excluding User Content and errors in AI-Generated Outputs) infringes any third-party patent, copyright, or trademark.

16. Governing Law & Disputes

This EULA is governed by Swedish law, without regard to conflict-of-law principles.

Any disputes shall be subject to binding arbitration in Stockholm, Sweden, under the rules of the Arbitration Institute of the Stockholm Chamber of Commerce (SCC).

If arbitration is not legally permitted or fails to resolve the dispute, the parties submit to the exclusive jurisdiction of the Stockholm District Court (Stockholms tingsratt).

17. Changes to This EULA

Templio may update this EULA at any time. Changes will be posted on this page with an updated "Last Updated" date. Continued use of the Service constitutes acceptance of the updated terms.
